Roosevelt Park Neighborhood Association Constitution

Article I- NAME

The name of this organization shall be the Roosevelt Park Neighborhood Association (RPNA).

Article II- OFFICE

RPNA’s principal office shall be the residence of the RPNA President. The Executive  Committee may change the location of the principal office at their discretion.  

Article III- BOUNDARIES

The Roosevelt Park Neighborhood Association boundaries are:

●      North: Southern Pacific Railroad tracks  between the San Antonio River and IH 37,

●      West: the San Antonio River to the East Theo Ave to Mission Road to Hansford Street,

●      South: Hansford to Roosevelt to School to Parker to East Mitchell to S. Presa,

●      East: S Presa  north to IH 10, east to IH 37 and north to the Southern Pacific Railroad tracks. 

Article IV- PURPOSE

The purpose of the Roosevelt Park Neighborhood Association is to provide an organized framework to  promote, preserve and enhance the quality of life and values in the Roosevelt Park neighborhood by:

A. Extending opportunities to residents, landowners, entrepreneurs and other interested parties through  education about neighborhood and community affairs and local topics of immediate interest;

B. Elevating and promoting the image of the neighborhood;

C. Encouraging the neighborhood to become involved in community affairs;

D. Promoting a sense of pride and identity among RPNA members;

E. Establishing a direct line of communication with members of the City Council and other public elected  officials;

F. Advising on available funding, loans and programs designated for the betterment and improvement of  older neighborhoods;

G. Providing a forum for the airing of grievances; and

H. Familiarizing residents, landowners and entrepreneurs about RPNA and its purpose ARTICLE V- POLICIES

Section 1. The Roosevelt Park Neighborhood Association shall be a nonpartisan organization and shall not  support candidates for public office. RPNA may take positions on issues. All actions appropriate to  sustain an approved RPNA position must be authorized by the Executive Committee before the President or  the President’s representative may so act. 

Section 2. RPNA shall never be operated for the primary purpose of profit and no part of its net  earning or membership fees shall be used to the benefit of private individuals. 

Section 3. In the event this organization is dissolved, all assets shall be donated to a charity or church selected  by the Executive Committee.

ARTICLE VI-MEMBERSHIP

Section 1. There shall be three categories of dues paying membership in RPNA: regular, business, and associate.

Section 2. A regular member of RPNA shall be any person sixteen (16) years or older residing and/or owning  property within RPNA boundaries.

Section 3. A business member of RPNA shall be any person, firm or corporation operating a place of business  within RPNA boundaries, provided however, that each such business shall be entitled to only one  membership in RPNA.

Section 4. An associate member of RPNA shall be any person or entity who does not qualify as a regular member or business member, but nevertheless maintains an interest in RPNA and its purposes. Associate members do not have a vote. 

Section 5. Only regular and business members who have paid their dues can vote.

ARTICLE VII- OFFICERS AND COMMITTEES

Section 1. The elected officers of RPNA shall be:

A. President

B. Vice President

C. Secretary

D. Treasurer

E. Parliamentarian

F. City Council District 3 Liaison 

G. City Council District 5 Liaison

H. City of San Antonio Liaison

I.  Business Liaison

Section 2. Any person who is an elected official of the State of Texas, the City of San Antonio, Bexar County or  another neighborhood association cannot hold an elected office in the RPNA.

Section 3. Any committees are to be appointed by the President upon approval of the Executive Committee. VII. AMENDMENTS

This constitution or any of its bylaws may be amended by a two-thirds majority of the members present at any  regular meeting, provided that the proposed amendment has been distributed to the membership at least one  month prior to that meeting at which the amendment will be voted upon.

BY-LAWS

I. MEETINGS

Section 1. Regular meetings of RPNA shall be held at least quarterly at a schedule to be determined by the Executive Committee. Special meetings may be called by  the President or 50% of the regular members. Notification of meetings shall be communicated to all members at  least five (5) days in advance, including publicly through social media. 

Section 2. A quorum for a regular meeting will consist of at least five (5) regular or business voting members besides the Executive Committee.

Section 3. The Executive Committee shall meet prior to each regular meeting of RPNA at a time that is mutually agreed upon and upon notification by the President. A quorum for an Executive Board meeting will consist of at least five (5) Executive Committee members.

Section 4. In both RPNA and the Executive Board meetings, all questions or order shall be decided in  accordance with Robert’s Rules of Order, unless such rules are contrary to this Constitution or By-laws.

II. EXECUTIVE COMMITTEE

Section 1. The eight (8) elected officers and the immediate past president, who shall serve as an ex-officio member, are the Executive Committee of RPNA.

Section 2. The Executive Committee shall supervise the affairs of RPNA in accordance with its stated  purposes and policies, shall set the agendas for the regular meetings, shall transact any business between  meetings of RPNA and report thereon at the next meeting, and shall make recommendations to the general membership on matters  before RPNA including policy recommendations and organizational goal setting.

III. DUTIES OF OFFICERS AND COMMITTEES

Section 1. The President shall be the principal officer of RPNA and shall:

A. Preside at all meetings of RPNA.

B. Be the sole spokesperson for RPNA, except that the Executive Committee may designate another  member to serve in this capacity as necessary.

C. Appoint committee members and chairpersons with the approval of the Executive Committee.

D. Upon approval of the Executive Committee, the president will sign, or delegate signature authority to another Executive Committee member, any RPNA documents.

E. Serve as RPNA’s primary representative to community organizations.

 

Section 2. The Vice President shall:

A. Act as special assistant to the President and represent the President whenever so designated.

B. Be empowered to sign, with the Secretary, any documents as authorized by the Executive  Committee. This may be done in the event of an emergency during the absence of the President or  due to the President’s inability or refusal to act. 

C. Be responsible for preparing and distributing RPNA’s correspondence including upkeep of all  on-line platforms such as email communication, and maintenance of tRPNA’s Facebook page.

D. Perform all such duties as required by the President or Executive Committee.

Section 3. The Secretary shall:

A. Keep minutes of the proceedings of all meetings of RPNA.

B. Preserve in file all records of value to RPNA.

C. Maintain a current roster of membership indicating the name, physical and email address, and telephone number of each member as well as his/her classification of membership.

D. Perform such other duties as requested by the President or Executive Committee

Section 4. The Treasurer shall:

A. Have charge of all funds of RPNA and their deposit in a financial institution in RPNA’s name as  approved by the Executive Committee.

B. Pay all bills and disburse funds as authorized by the Executive Committee.

C. Submit a financial report at each board meeting and a summarized report at RPNA regular meetings.

D. Keep itemized and complete records of all receipts and expenditures in a permanent file.

E. Perform such other duties as required by the President or Executive Committee.

F. Maintain and be the primary account holder for the RPNA bank account.

Section 5. The Parliamentarian shall:

A. Keep order at all meetings according to Robert’s Rules of Order.

B. Preparing and confirming the meeting venue in communication with the Executive Committee.

C. Perform such other duties as required by the President or Executive Committee.

D. Ensure RPNA’s compliance with the bylaws.

 

Section 6. District Liaisons shall:

A. Serve as the contact person with the City Councilperson of their assigned City District as well as any  other elected public official as requested by the President or Executive Committee.

B. Serve as a chair of a standing committee as appointed by the President.

C. Provide advice and assistance in carrying out RPNA activities. 

D. Perform such other duties as required by the President or Executive Committee.

Section 7:  City of San Antonio Liaison shall:

A.  Serve as the contact person on city initiatives, special projects, and other city associations as well as any  other elected public official as requested by the President or Executive Committee.

B. Serve as a chair of a standing committee as appointed by the President.

C. Chair a Development Committee which shall include the D3 and D5 RPNA Liaisons as standing members and open to any Regular Members.

D. Provide advice and assistance in carrying out RPNA activities. 

D. Perform such other duties as required by the President or Executive Committee.

Section 8: Business Liaison shall:

  1. Serve as the contact person on local business initiatives and relations.

  2. Serve as a chair of a standing committee as appointed by the President.

  3. Provide advice and assistance in carrying out RPNA activities.

  4. Perform such other duties as required by the President or Executive Committee.

Section 9: Immediate Past President shall:

  1. Serve as ex-officio member for one year.

  2. Serve on the Executive Committee in an advisory capacity for the purpose of providing institutional knowledge, and organizational continuity.

  3.  The immediate past President shall not be a voting member of the Executive Committee.

Section 9. Each officer shall deliver to his or her successor all records, papers and other property belonging to  RPNA within thirty (30) days after retiring from office. The Treasurer and one other presidential appointee on the Executive Committee shall be added to the RPNA bank accounts within thirty (30) days of RPNA approval.

Section 10: If two or more members of the board are married, partners, related, and/or of the same household,  all official documents, checks, and/or other financial or official duties that are the responsibility of the board  members must be approved by a different board member who is not related to and/or of the same household  as the other members.

 

Section 11. Conduct of Committees

A. Committees may not adopt their own rules except as authorized by the By-laws or in the instructions  given to the committee by RPNA.

B. All Committees shall have at least two meetings:

a. An initial meeting which will select committee members, organize and report to RPNA.

b. A closing meeting during which the committee will report to RPNA.

IV. ELECTIONS

Section 1. All elected officers are for two-year terms. Elected officers serve from January 1st to December 31st of the second year.

Section 2. At the August meeting of each election year, the President shall appoint a nominating committee of  at least three (3) members to solicit nominations for candidates.  Each nominee shall be contacted by the nominating committee to assure his/her availability to serve.  Any regular or  business member of RPNA is eligible for election to office. The nominating committee is responsible for conducting the election at the October meeting.

Section 3. The nominating committee shall present a slate of one or more nominees for each office at the October meeting. Members may make  additional nominations from the floor in the October meeting, providing the nominee has expressed his/her  availability to serve. 

Section 4. The election by ballot shall be held at the October meeting. RPNA members must be current on their annual dues in order to vote in the elections. For candidates who are seeking election for the first two consecutive terms for any one particular office, candidates receiving the majority of votes cast shall be declared elected and shall assume their duties at the January meeting. For candidates who are seeking election beyond the first two consecutive terms for any one particular office, candidates receiving a seventy-five percent (75%) super majority of votes cast shall be declared elected and shall assume their duties at the January meeting.

Section 5. The installation of the new officers for the succeeding year shall be conducted by the current  President at the December meeting. 

Section 6. In the event of a vacancy in the office of President, the Vice President shall assume that office for  the remainder of the term.

Section 7. In the event of a vacancy in any of the other elected offices, the Executive  Committee shall appoint a member to fill the remainder of the unexpired term, subject to the approval of RPNA.

Section 8. Unexcused absences, as determined by the Executive Committee, from three (3) consecutive  meetings shall constitute a vacancy of office.

V. DUES

Annual dues shall be $5 per regular and associate individual member and $25 per business member (regular or associate) per calendar year.

 

A two-year membership option is available for all membership types, whereby annual dues are accepted for two consecutive calendar years. Under this option, dues collected shall be $10 ($5 per calendar year) per regular and associate individual members and $50 ($25 per calendar year) per business member (regular or associate) for two calendar years.

Members who have not paid their dues by the October regular meeting shall not be eligible to vote during the election of officers. 

VI. EXPENDITURES

The Executive Board shall have the power to spend up to $100 (one hundred dollars) between meetings for  RPNA needs without the approval of RPNA voting members.
